PhotoKeeper Terms and End User License Agreement

These Terms are between you and the independent software publisher operating under the PhotoKeeper brand from China (“PhotoKeeper,” “we,” or “us”). They govern the PhotoKeeper desktop application, documentation, updates, website, and License service.
Mandatory consumer rights in your country continue to apply. Nothing in these Terms excludes a right or remedy that applicable law does not allow us to exclude.
1. What PhotoKeeper does
PhotoKeeper is a local-first, download-only tool for browsing content available through your authenticated iCloud Photos account and making independent local backup copies. It does not upload, edit, or delete iCloud content and is not a bidirectional synchronization service. You remain responsible for checking completed backups and keeping additional copies appropriate to the importance of your data.
2. Free preview and paid Licenses
The free preview may display locally available media and up to the latest 100 cloud thumbnails per authenticated Apple Account. It does not enable new original downloads, full cloud-library synchronization, manual backup, or scheduled backup.
Paid plans are one-time, non-subscription Licenses:
- Personal permits one permanently bound Apple Account.
- Family permits up to three permanently bound Apple Accounts.
- A Personal-to-Family upgrade increases the same License from one to three seats.
Subject to these Terms, we grant you a limited, non-exclusive, non-transferable License to use PhotoKeeper on supported computers for personal or authorized internal use. The Software is licensed, not sold.
3. Permanent account binding
Before a paid License is bound, PhotoKeeper displays a masked Apple Account email and asks you to confirm the identity. A consumed seat is permanently associated with the underlying iCloud identity and cannot be transferred, replaced, or released merely by changing an email alias, deleting a local account label, changing computers, or requesting erasure of the display label. Confirm the correct account before purchase or binding.
4. Online validation and offline use
Paid features use a signed entitlement. PhotoKeeper periodically refreshes it while online and normally permits paid features to continue offline for up to 30 days after the most recent successful validation. If validation expires, new downloads and backups pause until the License can be refreshed. Existing local files are not remotely deleted.
5. Payments, taxes, and refunds
Our order process is conducted by our authorized reseller Paddle.com. Paddle is the Merchant of Record, processes the payment, calculates applicable transaction taxes, issues receipts, and handles transaction support and approved refunds. The price and tax displayed by Paddle at checkout control. PhotoKeeper remains responsible for the product, technical support, and data processing under the Privacy Policy. See the Refund Policy.
6. Updates and lifecycle
A one-time License includes stable-channel updates we make available for the licensed major version during its published support lifecycle. It is not a promise of perpetual development, infrastructure, support, compatibility with future Apple or operating-system changes, or a future paid major version. 7. Acceptable use
You must use PhotoKeeper only with accounts and content you are authorized to access. You may not:
- bypass License checks, permanent binding, seat limits, or other technical protections;
- use the Software to violate privacy, copyright, sanctions, export-control, or other law;
- rent, resell, sublicense, or commercially share a License seat;
- interfere with Apple, Paddle, Cloudflare, PhotoKeeper, or another person's services; or
- reverse engineer the Software except where applicable law expressly permits it.
8. Apple and other services
PhotoKeeper is independently developed and is not affiliated with, sponsored by, or endorsed by Apple Inc. Apple and iCloud services remain governed by Apple's terms, availability, security controls, interfaces, and rate limits. Paddle, Cloudflare, Microsoft, and other dependencies are also subject to their own terms and availability.
9. Disclaimers and backup responsibility
To the maximum extent permitted by law, PhotoKeeper is provided “as is” and “as available.” We do not guarantee uninterrupted third-party access, support for every media format, or that a single backup copy is sufficient. Review verification results and test representative restored files. Mandatory warranties and remedies are not excluded.
10. Liability
To the maximum extent permitted by law, our aggregate liability arising from an affected paid License will not exceed the amount you paid for that License. This limit does not apply to fraud, willful misconduct, death or personal injury caused by negligence, or any liability that cannot legally be limited. Mandatory consumer remedies remain available.
11. Suspension and termination
We may suspend online License operations where reasonably necessary to address fraud, abuse, security risk, payment reversal, legal requirements, or a material breach. Refunds, chargebacks, or revocation disable future paid operations but do not delete local backup files.
12. Governing law and disputes
These Terms are governed by the laws of the People's Republic of China. Disputes are subject to the courts with competent jurisdiction in the People's Republic of China, except that consumers retain any mandatory right to rely on the law or courts of their place of residence.
